Terms of Service
OVERVIEW
Welcome to G&M Medical Supply. The terms "we", "us", and "our" refer to G&M Medical Supply, a business located in Congleton, Cheshire, UK. We operate this digital procurement portal and website, including all related information, content, features, tools, products, and services, to provide our corporate, clinical, and trade customers with a secure and curated purchasing experience (the "Services").
The following terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms"), govern your access to and use of the Services and constitute a legally binding agreement in accordance with the laws of England and Wales, including the Electronic Commerce (EC Directive) Regulations 2002.
Please read these Terms of Service carefully, as they include important information regarding your legal rights, warranty disclaimers, and limitations of liability. By accessing, interacting with, or using our Services, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you must not access or use the Services.
SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms of Service, you represent that you are at least 18 years of age and possess the legal authority to bind your respective organisation or corporate entity to these Terms.
To utilize the Services, including requesting quotes or submitting purchase orders, you may be required to register a corporate account and provide business information, including your email address, billing details, payment methods, and delivery locations. You represent and warrant that all information provided is accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You may not transfer, assign, or license your account to any unauthorized third party.
SECTION 2 - OUR PRODUCTS
We make every effort to display the specifications, features, and visual representation of our medical supplies and products as accurately as possible. However, we cannot guarantee that your device's display will accurately reflect the exact colour or physical appearance of the goods.
All descriptions of products or product pricing are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time. We further reserve the right to limit the quantities of any products or services that we offer to any business, geographic region, or jurisdiction, on a case-by-case basis.
SECTION 3 - ORDERS AND CONTRACT FORMATION
The display of products on our portal constitutes an "invitation to treat." When you submit an order, you are making an offer to purchase the selected goods. G&M Medical Supply reserves the right to accept, decline, or limit your order for any commercial reason. A legally binding contract of sale is only formed when we issue a formal order confirmation and process your payment.
Please review your order requisitions carefully before submission. Once an order has been accepted and processed for dispatch, we may be unable to accommodate cancellation requests. In the event we must amend or cancel an order, we will attempt to notify you via the email address or billing contact provided.
SECTION 4 - RETURNS AND REFUNDS
Due to the sensitive nature of our products, we operate a strict but fair returns policy. You have a 30-day return window from the date of delivery to return items.
To be eligible for a return, the medical supplies must be unopened, in a fully resaleable condition, and housed in their original, undamaged packaging.
Important: You must contact our team at hello@gm-med.co.uk to request and receive formal return authorization before dispatching any goods back to our facility. Unauthorized returns will be rejected and returned to you at your expense.
SECTION 5 - PRICES, BILLING, AND VAT
Prices for our products are subject to change without notice. The price charged will be the price in effect at the time the order is placed, as outlined in your order confirmation. Unless explicitly stated otherwise, posted prices exclude Value Added Tax (VAT), shipping, handling, and any applicable import duties, which will be calculated and clearly displayed at checkout or on your commercial invoice.
You agree to provide current, complete, and accurate purchase and accounting information for all transactions. You warrant that you are authorized to use the provided corporate payment methods and that your organization will honour the charges incurred.
SECTION 6 - SHIPPING AND DELIVERY
Delivery dates provided are estimates only. While we partner with trusted logistics providers to ensure prompt delivery to your clinic, school, or facility, we are not liable for delays caused by external carriers, customs processing, or force majeure events. Risk of loss and title for products pass to your organization upon delivery of the goods to your specified address.
SECTION 7 - INTELLECTUAL PROPERTY
Our Services, including all trademarks, brands, text, displays, images, graphics, product specifications, and the overarching portal design, are owned by G&M Medical Supply, our affiliates, or our licensors. These assets are protected by UK and international copyright, trademark, and intellectual property laws.
You may use the Services solely for your organization's legitimate procurement purposes. You must not reproduce, distribute, modify, scrape, or commercially exploit any material on the Services without our prior written consent. All rights not expressly granted herein are reserved.
SECTION 8 - SECURE PAYMENT PROCESSING & DATA ARCHITECTURE
Our public-facing website operates on a custom-built, independently hosted headless architecture designed for enterprise-grade performance. To ensure the highest level of security for your corporate data and financial transactions, we utilize a secure, PCI-DSS compliant third-party backend engine and payment processor.
We do not store your raw credit card data on our own servers. All payment information is securely encrypted and processed directly by our verified third-party payment gateways in accordance with rigorous global data security standards. By using our Services, you acknowledge and consent to this secure routing of transactional data.
SECTION 9 - OPTIONAL TOOLS AND THIRD-PARTY LINKS
We may provide you with access to third-party tools (such as digital catalog integrations or freight tracking services) over which we have no control or input. We provide access to such tools "as is" without warranties or endorsements of any kind. Your use of these optional tools is entirely at your own risk.
Additionally, our portal may contain hyperlinks to third-party websites. We are not responsible for evaluating the content or accuracy of third-party materials and accept no liability for any harm or damages related to the use of external sites.
SECTION 10 - PRIVACY AND DATA PROTECTION
Your submission of personal and corporate data through the Services is governed by our Privacy Policy, which complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. We employ strict data processing agreements with our secure backend providers to ensure your information is handled legally and safely. For full details on how we collect, process, and protect your data, please request or view our full Privacy Policy.
SECTION 11 - ERRORS, INACCURACIES, AND OMISSIONS
Occasionally, there may be information on our portal that contains typographical errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, and availability. We reserve the right to correct any errors and to update information or cancel orders if any information in the Services is inaccurate at any time without prior notice.
SECTION 12 - PROHIBITED USES
You are prohibited from using the Services or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in unlawful acts; (c) to violate any UK or international regulations, rules, or laws; (d) to infringe upon our intellectual property rights or those of others; (e) to submit false or misleading commercial information; (f) to upload or transmit viruses, trojans, or any malicious code (in violation of the Computer Misuse Act 1990); (g) to scrape, data-mine, or automatically extract data; or (h) to interfere with the security features of the Services. We reserve the right to terminate your account for violating any prohibited uses.
SECTION 13 - DISCLAIMER OF WARRANTIES
To the maximum extent permitted by UK law, the Services and all products provided to you through the Services are provided 'as is' and 'as available' for your commercial use. We make no representations or warranties of any kind, either express or implied, including implied warranties of satisfactory quality or fitness for a particular purpose, beyond what is expressly stated in product specifications. We do not guarantee that the portal will be uninterrupted, entirely secure, or error-free.
SECTION 14 - LIMITATION OF LIABILITY
Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
Subject to the above, G&M Medical Supply, our directors, employees, affiliates, and secure service providers shall not be liable for any indirect, incidental, punitive, special, or consequential damages of any kind. This includes, without limitation, lost profits, lost revenue, lost savings, loss of data, or business interruption arising from your use of the Services or procurement of any products, whether based in contract, tort (including negligence), strict liability, or otherwise.
SECTION 15 - INDEMNIFICATION
You agree to indemnify, defend, and hold harmless G&M Medical Supply, our affiliates, partners, officers, and secure backend processors from any claims, damages, liabilities, or demands—including reasonable legal fees—made by any third party due to or arising out of your breach of these Terms, your improper use of the Services, or your violation of any law or third-party rights.
SECTION 16 - SEVERABILITY
If any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall be enforceable to the fullest extent permitted by applicable UK law. The unenforceable portion shall be deemed severed from these Terms, and this determination shall not affect the validity and enforceability of any remaining provisions.
SECTION 17 - WAIVER AND ENTIRE AGREEMENT
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right. These Terms of Service, combined with our Privacy Policy and any operating rules posted by us, constitute the entire agreement and understanding between your organization and G&M Medical Supply, superseding any prior agreements, oral or written.
SECTION 18 - GOVERNING LAW AND JURISDICTION
These Terms of Service and any separate commercial agreements whereby we provide you Services shall be governed by and construed strictly in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the English courts.
SECTION 19 - CHANGES TO TERMS OF SERVICE
You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change, or replace any part of these Terms at our sole discretion.
